Preview of Purchase of Services Contract
This document is a Contract for purchase of Services. Municipalities may use the template for various standard types of services procured on a regular basis (i.e. janitorial, security, etc.).
THIS PURCHASE OF SERVICES CONTRACT is between [Name of Municipality], (hereinafter the “Municipality” and [Services Provider], (hereinafter “Services Provider”),
Whereas the Municipality requires [Services] (the “Services” as further defined in this Contract);
And whereas the Municipality issued a formal procurement process for the Services;
And whereas the Services Provider was selected and agrees to provide the Services subject to the terms and conditions contained in this Contract;
This Contract witnesses, subject to the terms and conditions contained herein and in consideration of the mutual covenants and agreements, that the Parties agree as follows:
1. Interpretation. In this Contract:
“Contract” means this signed document between the Municipality and the Services Provider for the performance of the Services;
“Bid Solicitation” means request for qualification, request for tender, request for proposal, or other formal request for competitive bids as used by the Municipality to procure the Services.
“Business Day(s)” means any day other than Saturday, Sunday, any civic holiday or holiday described in the Legislation Act, 2006, S.O. 2006, c. 21, Schedule F, as amended;
“CPI” means the Consumer Price Index for Ontario – All Items, as published by Statistics Canada;
“Parties” means the Services Provider and the Municipality, and “Party” means either the Municipality or the Services Provider;
“Services” means the [Services] provided by the Services Provider in accordance with this Contract, and as particularly described in the Services Scope attached as Schedule “A” hereto, including any necessarily incidental services to those identified; and
"Services Provider" means the person, partnership or corporate entity signing this Contract.
2. Term. Unless earlier terminated, this Contract is for a Term commencing on XX, 20XX and ending on XX, 20XX, inclusive.
3. Extension Term. At its sole and complete discretion, the Municipality shall have the option to extend the Term of this Contract for XX (XX) additional year terms (“Extension Term(s)”) as follows:
i. the option year(s) will be from:
i. Year XX - XX to XX; and
ii. Year XX - XX to XX;
ii. the Municipality shall extend the Term by written notice to the Services Provider served no less than two (2) months prior to the expiration date of the Term of this Contract;
iii. any Extension Term(s) shall be subject to the terms and conditions of this Contract;
iv. there shall be no further right of extension.
